These Terms and Conditions ("Agreement") govern your use of the Dharma Krung website and the legal services we provide. By accessing our website or engaging our services, you agree to be bound by this Agreement. If you do not agree, please discontinue use of this website and do not engage our services.
1. Definitions
- "Dharma Krung," "we," "us," or "our" refers to the legal practice operating from 71 Sathorn Tai Road, Sathorn, Bangkok 10120, Thailand.
- "User," "you," or "your" refers to any individual or entity accessing our website or engaging our services.
- "Services" means the legal services described on our website, including business formation advisory, contract drafting and review, and intellectual property registration.
- "Engagement" means a formal engagement of our Services, evidenced by a signed letter of engagement.
- "Content" means all text, images, documents, and materials appearing on this website.
2. Acceptance of Terms
By submitting a contact form, requesting a consultation, or entering into a formal Engagement with Dharma Krung, you confirm that you are at least 18 years of age, have the legal capacity to enter into binding agreements under Thai law, and have read and accepted this Agreement in full.
3. Nature of Information on This Website
The content on this website is provided for general informational purposes only and does not constitute legal advice. No attorney-client relationship is formed by your use of this website or by an initial consultation alone. A formal legal relationship is established only upon execution of a signed letter of engagement between you and Dharma Krung.
4. Service Description and Availability
Dharma Krung provides legal services in three practice areas: business formation and corporate structuring, contract drafting and review advisory, and intellectual property registration and strategy. Services are delivered from our Bangkok office and are subject to practitioner availability.
We reserve the right to decline an engagement at our discretion without obligation to provide reasons. Services are principally available to clients operating within or into the Kingdom of Thailand. We do not warrant that services are suitable for any other jurisdiction.
5. Engagement Terms
5.1 Letter of Engagement
All formal legal services commence with a signed letter of engagement setting out the agreed scope of work, fixed fee, assigned practitioner, and expected timeline. No billable work commences before this document is executed by both parties.
5.2 Scope Changes
Any material change to the agreed scope of work requires written confirmation from both parties before additional work proceeds. Scope changes may affect the agreed fee and timeline, which will be set out in a written amendment to the engagement letter before implementation.
5.3 Client Responsibilities
Clients are responsible for providing accurate, complete, and timely information relevant to their matter. Dharma Krung accepts no liability for delays, errors, or suboptimal outcomes arising from incomplete or incorrect information provided by the client or by third parties acting on the client's behalf.
6. Fees and Payment
Fees are agreed on a fixed-fee basis per engagement, as confirmed in the letter of engagement. Starting prices displayed on our website are indicative only; the precise fixed fee for a specific matter is confirmed after an initial consultation. All fees are quoted and payable in Thai Baht (฿) unless otherwise expressly agreed. Invoices are issued upon completion or at agreed milestones and are payable within 14 calendar days of issue unless the engagement letter specifies otherwise. Overdue invoices may attract interest at the statutory rate under Thai law.
7. Confidentiality
Dharma Krung maintains strict confidentiality over all client information and matter-related communications, in accordance with the professional obligations of the Lawyers Council of Thailand and applicable law. This obligation survives the termination or completion of any engagement. Details of client matters are not shared with third parties without client consent except where required by law or court order.
8. Intellectual Property
All content on this website — including text, design elements, images, and document templates — is the intellectual property of Dharma Krung or its licensors and is protected under Thai copyright law. You may not reproduce, adapt, distribute, or use any content from this website without our express prior written consent.
Documents prepared for a client under a formal engagement are delivered for that client's use as specified in the engagement letter. Dharma Krung retains no ongoing rights to documents created exclusively for a client's matter, except as required for professional record-keeping.
9. Disclaimers
Our services are delivered with professional diligence and in good faith. However, legal outcomes are subject to factors outside our control, including decisions by Thai regulatory authorities, courts, or counterparties, and we make no representations as to the specific outcome of any engagement. Thai law and regulatory requirements are subject to change; we are not liable for changes occurring after the completion of a matter. The website is provided on an "as is" basis without warranties of accuracy, completeness, or fitness for a particular purpose.
10. Limitation of Liability
To the extent permitted by Thai law, Dharma Krung's aggregate liability to any client arising from a formal engagement shall not exceed the total fees paid by that client for the relevant engagement. We are not liable for indirect, consequential, incidental, or speculative losses. Nothing in this Agreement limits liability for fraud, gross negligence, wilful misconduct, or liability that cannot lawfully be excluded under Thai law.
11. Indemnification
You agree to indemnify and hold harmless Dharma Krung and its practitioners from any claims, losses, costs, or expenses (including reasonable legal fees) arising from: your breach of this Agreement; your provision of inaccurate or misleading information; or your use of our services in a manner inconsistent with applicable law or these Terms.
12. Termination of Engagement
Either party may terminate a formal engagement by providing written notice. Upon termination, fees for work completed to the point of termination become immediately due and payable. Dharma Krung may terminate an engagement without prior notice where continuation would create a conflict of interest, require action contrary to professional obligations, or place us in breach of applicable law.
13. Governing Law and Dispute Resolution
This Agreement and any engagement between the parties is governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising out of or in connection with this Agreement shall first be subject to a 30-day period of good-faith informal negotiation between the parties. If unresolved, disputes shall be referred to the competent courts in Bangkok, Thailand, to whose exclusive jurisdiction both parties irrevocably submit.
14. General Provisions
- Entire Agreement: This Agreement, together with any signed engagement letter, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior discussions or arrangements.
- Severability: If any provision of this Agreement is held to be unenforceable under Thai law, the remaining provisions shall remain in full force and effect.
- Waiver: Failure by either party to enforce a provision does not constitute a waiver of the right to enforce it subsequently.
- Assignment: You may not assign your rights or obligations under this Agreement without Dharma Krung's prior written consent.
15. Changes to These Terms
We may update these Terms and Conditions from time to time. Where changes are material, they will be communicated on this page with an updated effective date. Continued use of our website or continued engagement of our services following such changes constitutes acceptance of the revised Terms.
